SINK Service

SINK funds projects with the aim of making reductions or removals of CO2 and other greenhouse gases (GHG) in order to mitigate the impact of climate change. SINK offers you (the Purchaser) the opportunity to contribute towards emission reductions by entering into a purchase agreement with SINK to provide services to offset the emissions using the information that you have provided. You understand that by entering into this agreement, you are delivering a purchase order to SINK. Purchases on SINK may be made as subscription purchases with monthly recurring payments, or as one-time purchases with individual payments. Upon receipt of the full payment, SINK undertakes to offset the amount of CO2 emissions specified in the online purchase receipt and subject to this agreement. This offset will be accomplished by SINK financing CO2 offset projects, to purchase and retire the associated carbon emission reduction credits generated by those projects into the appropriate public registry. You acknowledge and agree that SINK has no obligation to allocate any emission reduction credits to you until it has received full payment. The Parties agree and acknowledge that the emission reduction credits to be allocated in respect of the GHG emissions to be offset shall be allocated from the SINK’s mixed Projects Protfolio, and the allocation distribution between the various projects is at the sole discretion of SINK. Details of the current SINK Projects Portfolio are available online and can be viewed via https://www.sinkoffsets.com/projects-portfolio/. The projects within this Portfolio are updated from time to time. Following receipt of payment, and upon your request, SINK can provide a non-transferable certificate, sent by email, to demonstrate that the emissions will be offset. The certificate does not evince carbon neutrality or anything other than that retirement of the specified number of carbon emission reduction credits will be conducted on your behalf. You will not receive title to any of the carbon emission reduction credits achieved by any of SINK’s emission reduction projects. SINK undertakes not to offset a given carbon emissions reduction credit for more than one party or to sell a carbon emission reduction credit to more than one party.

 

You agree to use the SINK service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service content therein. You agree not to archive, download, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale or re-sale, or use content and information contained on or obtained from or through the SINK service, unless approved in writing by SINK. You agree not to circumvent, remove, alter, deactivate, degrade or thwart any of the content in the SINK service; or manipulate the content of the SINK service in any way.

 

In order to use our website and/or receive our services, you must be of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.

 

Retention of Right to Change Offering

We may, without prior notice, change the services; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.

 

Billing

All payments in USD for one-time purchases and subscription purchases are processed by PayPal. Please read PayPal's user agreement. Subscriptions will be billed on a monthly basis and will continue month-to-month until terminated, unless otherwise specified. For certain payment methods, the issuer of your payment method may charge you a foreign transaction fee or other charges. Check with your payment method service provider for details. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, we may suspend your access to the service until we have obtained a valid payment method. Changes to your payment method can be done through your PayPal account.  We do not provide refunds or credits for any partial-month subscription periods. You can cancel your SINK subscription at any time, without charge, through your PayPal account. If you are unable to cancel your subscription through your PayPal account, please email unsubscribe@sinkoffsets.com and we will arrange the cancellation. We may change our service plans and the price of our service from time to time, for example due to changes in the projects used in our portfolio of projects. However, any price changes or changes to our service plans will apply to you no earlier than 30 days following email notice to you.

 

Right to Suspend or Cancel User Subscriptions

We may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your subscription and/or any services at any time. Notwithstanding anything to the contrary in the foregoing, with respect to automatically renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment

 

Ownership of Intellectual Property, Copyrights and Logos

The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of SINK. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

 

Indemnification

You agree to indemnify and hold SINK harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.

 

Liability

You acknowledge and agree that SINK makes no representation or warranty as to accuracy or validity and accepts no liability in respect of any (i) data, figures, or amounts communicated to it or calculated as, or representing, GHG emissions data or similar; (ii) Statement by You or any third party, including any Affiliate or Customer, that the Services provided under this Agreement represent the actual measured “carbon footprint” or “emissions footprint” or provide “carbon neutral” or “climate neutral” or “carbon negative” or “carbon sink” status or other similar concept to You, Your Affiliates, or any of Your Customers.

 

To the maximum extent permitted by applicable law, in no event shall SINK, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.

 

To the maximum extent permitted by applicable law, SINK assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

 

Electronic Communications

We will send you information relating to your use of the service in electronic form only, for example, via emails to the email address provided during registration.

 

You agree to receive from time to time promotional messages and materials from us, by email or any other contact form you may provide us with (including your phone number for calls or text messages). If you don't want to receive such promotional materials or notices – please just notify us at any time.

You should be mindful of any communication requesting that you submit your credit card or other personal information. Providing your information in response to these types of communications can result in identity theft.

Right to Change and Modify this Agreement

We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these page periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.

Governing Law

These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive the laws of place of domicile of SINK, which is the United Arab Emirates, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in the United Arab Emirates. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
